    1. Acceptance of Terms

    By accessing and using WedLoop (“the Service”), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms and Conditions, please do not use our Service.

    2. Description of Service

    WedLoop is a service that allows users to manage wedding guest lists and communicate with guests via SMS messaging. The Service includes features such as:

    • Guest list management and CSV import functionality
    • Automated SMS messaging to wedding guests
    • AI-powered responses to guest inquiries
    • Prompt management for customizing responses

    The Service is intended solely for wedding- and event-related informational messaging, such as RSVP reminders, schedule updates, travel and lodging details, and other non-marketing communications. The Service is not intended for marketing, solicitation, or advertising campaigns.

    3. User Responsibilities

    As a user of WedLoop, you are solely responsible for:

    • Obtaining prior express consent from all guests before adding them to your guest list and sending SMS messages through the Service
    • Ensuring all guest contact information is accurate and up to date
    • Complying with all applicable laws and regulations regarding SMS messaging and data privacy, including but not limited to the TCPA, CTIA guidelines, and any local regulations
    • Maintaining the confidentiality and security of your account credentials
    • Using the Service only for lawful purposes related to your wedding or event
    • Honoring and respecting guest opt-out requests and communication preferences

    You understand and agree that WedLoop relies entirely on your representations regarding guest consent and does not independently verify that consent with your guests.

    4. SMS Messaging, Represented Consent, and Compliance

    Represented Prior Express Consent Required: By uploading guest phone numbers or sending SMS messages through the Service, you expressly represent and warrant that you have obtained prior express consent from each guest to receive SMS/text messages related to your event. This consent may be obtained in writing or electronically (for example, through your wedding website, RSVP forms, or other online flows) so long as it clearly authorizes SMS communications.

    By using this Service, you confirm that:

    • You have obtained prior express consent from all guests to receive SMS messages related to your event (e.g., RSVP reminders, event updates, lodging and travel information, and other non-marketing event communications)
    • All guests have been informed that message and data rates may apply
    • All guests have been informed that they can opt out at any time by replying “STOP”
    • You will not send SMS messages to individuals who have opted out or withdrawn consent
    • You will not use the Service to send marketing, promotional, or advertising messages, nor to contact individuals from purchased, rented, or scraped lists

    WedLoop does not obtain consent from your guests on your behalf and does not independently verify such consent. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, carrier rules, and industry guidelines. WedLoop is not responsible for any violations of SMS consent laws or regulations that may occur as a result of your use of the Service.

    5. Opt-Out Mechanism

    Guests may opt out of receiving SMS messages at any time by replying “STOP” to any message. Once a guest opts out, you agree to immediately honor that request and not send further messages to that guest through the Service.

    The Service will automatically process opt-out requests and update the guest's status accordingly; however, it is your responsibility to ensure that your own practices and any external systems or lists you maintain are also updated and that you do not attempt to circumvent or override any opt-out requests.

    6. Data Privacy and Security

    We take data privacy seriously. Your use of the Service is also governed by our Privacy Policy. By using the Service, you agree that:

    • You are responsible for protecting the privacy of your guests' personal information
    • You will not share, sell, or misuse guest data obtained or stored through the Service
    • You understand that guest data is stored in our systems and may be processed as necessary to provide and improve the Service
    • You will comply with all applicable data protection laws, which may include GDPR, CCPA, TCPA, and similar regulations where applicable

    7. Service Availability

    We strive to provide reliable service, but we do not guarantee that the Service will be available at all times or without interruption. The Service is provided on an “as is” and “as available” basis, and we may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

    8. Prohibited Uses

    You agree not to use the Service to:

    • Send spam, unsolicited messages, or messages to individuals who have not provided prior express consent
    • Send marketing, promotional, or advertising messages, including campaigns unrelated to a specific wedding or event
    • Upload or use purchased, rented, scraped, or third-party contact lists
    • Transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
    • Violate any applicable laws, regulations, carrier rules, or industry guidelines
    • Impersonate any person or entity, or misrepresent your relationship with any person or entity
    • Interfere with or disrupt the Service or servers connected to the Service

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEDLOOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY DELAY, FAILURE, OR INTERRUPTION IN SMS DELIVERY; (C) ANY CARRIER FILTERING, BLOCKING, OR THROTTLING OF MESSAGES; OR (D) ANY CLAIMS OR DISPUTES ARISING FROM YOUR FAILURE TO OBTAIN PROPER CONSENT FROM RECIPIENTS OR YOUR VIOLATION OF APPLICABLE LAWS OR REGULATIONS.

    10. Indemnification

    You agree to defend, indemnify, and hold harmless WedLoop, its officers, directors, employees, agents, contractors, and service providers from and against any and all claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal and attorney fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your failure to obtain or document proper consent from recipients, including but not limited to any alleged or actual violations of SMS consent laws and regulations (such as the TCPA), carrier rules, or industry guidelines. This indemnification obligation survives termination of your use of the Service.

    11. Modifications to Terms

    We reserve the right to modify these Terms and Conditions at any time. We will notify users of any material changes by updating the “Last updated” date at the top of this page. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

    12. Termination

    We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms and Conditions or for any other reason we deem necessary to protect the integrity of the Service or comply with legal or carrier requirements.

    13. Governing Law

    These Terms and Conditions shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through appropriate legal channels in the jurisdiction in which WedLoop is organized or primarily operates, unless otherwise required by applicable law.
